Book Description

October 4, 2006 0314166947 978-0314166944
Closely Held Business Organizations is a comprehensive study of the law of closely held businesses. Although course names differ from school to school, the book is designed primarily for professors teaching "Business Organizations" or "Business Associations" who wish to focus their courses on closely held businesses. The book is also ideally suited for courses such as "Closely Held Businesses" and "Agency and Unincorporated Business Associations." Collectively, the authors have won 9 teaching awards, have 27 years of teaching experience, and have authored numerous publications on closely held business topics. Highlights include: ? Comprehensive coverage of agency, general partnerships, closely held corporations, limited partnerships, limited liability partnerships, and limited liability companies. Materials are also included on the professional corporation, the professional association, and the business trust. ? LLCs, in particular, receive 120 pages of comprehensive, up-to-date treatment. ? Notes and questions are provided at the end of each principal case or excerpt. The notes and questions are specifically designed to serve as the sole focus for class discussion if the professor chooses. (This should be particularly helpful for newer professors). ? Numerous problems are included throughout the book to raise critical issues, to facilitate comprehension, and to present opportunities for students to apply concepts and doctrines to various factual settings. ? An extensive teacher's manual provides detailed answers and lines of discussion for every question and problem in the book. ? Thorough coverage of uniform and model statutes (including the MBCA and the Restatement (Third) of Agency) as well as Delaware statutes. ? A statutory supplement specifically designed to accompany the book by including all of the cited statutes and comments.

This review is from: Closely Held Businesses Organizations: Cases, Materials, and Problems (American Casebook Series) (Hardcover)
The authors did a good job of linking many of the best Business Organization cases e.g. Dodge v. Ford Motor Company and Meinhard v. Salmon into cases about smaller entities and getting it all to make sense.

This review is from: Closely Held Businesses Organizations: Cases, Materials, and Problems (American Casebook Series) (Hardcover)
This textbook on Business Associations offers a great deal of material on The rules governing Agency, Parternships and Corporations. Along with this book you will need to publish the statutory supplement that goes along with this book because the at the beginning of each section, the authors refer you to the relevant statute in order for you to better understand the case law and statute itself.

Overall, the only downfall of this text is its breath, as it is a lot to digest for a normal semester course.

I would recomend you try to publish a supplement on the areas of the book that you are having trouble on.

It has all the Model Business Codes and all the Bussiness related Codes from Delaware. It's worth the money for the class. Ragazzo is a genius. You should definately buy this book along with his text book, "Closely Held Business Organizations."
