More About the Author

Anthony Mancuso is a California attorney and a corporations and limited liability company expert. He graduated from Hastings College of Law in San Francisco, is a member of the California State Bar, writes books and software in the fields of corporate and LLC law, and has studied advanced business taxation at Golden Gate University in San Francisco. He also works as a technical writer and programmer, and is currently employed by Google in Mountain View, CA. He is the author of many Nolo books on forming and operating corporations (both profit and nonprofit) and limited liability companies. His titles include Incorporate Your Business, How to Form a Nonprofit Corporation (national and California editions), Form Your Own Limited Liability Company, The Corporate Records Handbook, LLC or Corporation?, and Your Limited Liability Company - an Operating Manual. He wrote and programmed Nolo's LLC Maker software program, which generates state-by-state articles and other forms for organizing an LLC in each state. His books and software have shown over a quarter of a million businesses and organizations how to form a corporation or LLC. He also is a licensed helicopter pilot and has performed for years as a guitarist in many musical idioms.

I've read several books on this topic, and I can't rank this one very high on the list. The first half of the book is pretty decent, not bad at all; however, the last half of the book, four whole chapters, is focused on converting one entity to another. This material should be in another book devoted to that topic, not here. That said, you are paying for fifty percent of a book that is very readable. It is not dense at all, and the "real-world" examples illustrating when one company entity is preferable over another entity are good, though few and far between. The inclusion of MANY more example scenarios would have made this an extremely informative book.

I have to say I'm disappointed with this book. For a book with a title of "LLC or Corporation" you would think it'll have a great amount of info on LLCs and Corps and side to side comparisons. Instead, half the book is filled with info on Sole Proprietorship and Partnerships, just like any book that provides info on creating your own business. Part 2 of the book addresses converting your business from one entity to another. Again, equal amount of info was given on Sole Proprietorship and Partnerships. I have no gripes against the quality of the info, just that this is not what the title of the book made you believe it's suppose to be. They need to delete the "LLC or Corporation" part of the book title and make bigger the second title "How to Choose the Right Form for Your Business". Waste of time and extra paper.

He discusses California. It costs $800/year to maintain an LLC, plus, they apparantly tax gross income. It's hard to understand advantages of the LLC in California for a small start up. Why not just form an S corporation? Anyway, an excellent book, and, I am still studying it. I would buy it again.
