He discusses California. It costs $800/year to maintain an LLC, plus, they apparantly tax gross income. It's hard to understand advantages of the LLC in California for a small start up. Why not just form an S corporation? Anyway, an excellent book, and, I am still studying it. I would buy it again.

I've read several books on this topic, and I can't rank this one very high on the list. The first half of the book is pretty decent, not bad at all; however, the last half of the book, four whole chapters, is focused on converting one entity to another. This material should be in another book devoted to that topic, not here. That said, you are paying for fifty percent of a book that is very readable. It is not dense at all, and the "real-world" examples illustrating when one company entity is preferable over another entity are good, though few and far between. The inclusion of MANY more example scenarios would have made this an extremely informative book.

I have to say I'm disappointed with this book. For a book with a title of "LLC or Corporation" you would think it'll have a great amount of info on LLCs and Corps and side to side comparisons. Instead, half the book is filled with info on Sole Proprietorship and Partnerships, just like any book that provides info on creating your own business. Part 2 of the book addresses converting your business from one entity to another. Again, equal amount of info was given on Sole Proprietorship and Partnerships. I have no gripes against the quality of the info, just that this is not what the title of the book made you believe it's suppose to be. They need to delete the "LLC or Corporation" part of the book title and make bigger the second title "How to Choose the Right Form for Your Business". Waste of time and extra paper.

You must read the entire book. After reading this book I had lined up for a paid consultation with a well known small business accountant. I made sure I had my few questions worked out. He was so impressed that he waived his fee. You'll know 95% of the in's and outs in no time.

This is not about taxes and what is a write off. This is about business formation and tax planning for that business and for transfers. Wouldn't be nice to know what would happen to an LLC that went to a C or S corp? Well it tells you mostly everything you might want to know.

For starters, I'm a big fan of the NOLO guides, which are generally well-written and full of no-nonsense information. This book is no exception. This is not as dense as many of the NOLO guides but it still chock-full of useful information about the nuts and bolts of business entities.

The book provides guidance on the relative merits of sole proprietorships, partnerships, LLCs, and corporations, and includes a discussion on how each of these business forms can impact personal liability, taxes, profits, and investment. The author provides guidance on how to form a business entity, and how to convent an entity from one form to another. The author cannot decide what type of entity is best for any individual, but it can provide tools for a business person to make a more informed decision.

This is a good read for someone just starting a business and wanting to get it right or something with a sole proprietorship thinking about growing and protecting the business and his or her own personal assets. It's no substitute for a lawyer with specific expertise in the area, but it could make you a much more informed and prudent consumer of legal services.

I've been a Mancuso fan since the 90s, having purchased most of his books. This is in my view an almost ideal book for those contemplating the decision of whether to form an LLC or a corporation.

I've actually read this book cover to cover, and it truly deals with the main question addressed in its title. It is the only book I've seen that shows in such a user-friendly way how to convert from one type of entity to another, for all the entity types.

What I would have like to make this a more perfect book is expanded treatment on S corporations, although the basics are included here. I recommend this book.

As a financial manger with 25 years of experience, the people I have worked for over the years such as executives and owners, place a very high value on making complex subjects easy to understand. The question of how to structure your business is very easy for the first 60% of the important reasons; tax management, limiting liability, controlling management, and managing your partners. In fact, let me stop right there. If this book had been able to boil down the complexities into these four categories, then broken the book into four sections with chapter for each major topic, that would have been helpful.

It isn't clear to me who the target audience is for this book. If its unsophisticated owners who want that simplicity I describe above, then the first 30 pages gets this one. After that, the book gets too much like a disorganized legal text book, which is trying to be "lite," but for an unsophisticated audience, its way too complex. I wasn't surprised to see that Mr. Mancuso, the author, is an attorney.

If the target audience are lawyers and CPAs, then I have to be a little more generous, but even then, the material isn't organized in a way that makes the book easy to read, or easy to use as a quick reference.

One plus of the book is the frequent use of examples to explain a topic. This is always good because it reduces complexity and adds interest.

Basically, for most people with small businesses,the LLC is really the best of both worlds. I wonder if this book makes the topic unnecessarily complex by leaving this fact in the background. My personal opinion is that a book like this could be written in a way that acknowledges this truth in the first few pages. Then the rest of the book might discuss the less common situations where some other form of business might be preferable.

If you are contemplating starting a business, there really is no reason not to do so as a corporation. This guide helps explain the entire process in a level of detail that maintains interest and is reasonably thorough, and will help you decide which type of corporation is best for you. Bottom line: S corps and LLCs are "flow through" entities, and C corps are not. Which to pick depends on how you want your new business to affect your personal tax return. Easy reading, reasonably thorough, and provides a healthy level of expertise. I think this book provides adequate information for you to make your own corporation online, and probably save plenty of bucks in doing so. For the more cautious, a great starting point, and you'll know all the important questions to ask the attorney you select to form your entity.
