A must own for law students taking a corporations law class!, January 16, 1999

This gouge explains corporation formation in a format that is easy to understand. This is especially helpful to law students who have never had a business course prior to law school. I found the author's coverage of the duties of coporate officers and those of shareholders to be straightforward and easy to understand. Additionally, the coverage of current case law in the area of the Business Judgment Rule, along with exam tips and "test your knowledge" questions were extremely helpful. (class taken in 1998)

A Valuable Study Guide, December 13, 2000

I cannot imagine getting through my exam study for corporations without this guide. It gives a very clear explanation of the topics that were covered in class. It is very helpful to people only taking corporations because of the bar exam rather than a specific interest in practicing in this area. One caveat - unlike some other outlines, this text does not specifically brief any cases, so it is still essential to keep up with the text and attend class.
