good review for corporations class. it is based on the model code, and sometimes DE. but if you need NY law, this book doesn't help that much. but the explanations are clear and interesting.

I generally like the Examples and Explanations series, however "Corporations" is not one of their best. As other reviewers have mentioned, this book focuses primarily on the Model Business Corporations Act and does not include cites to Delaware or other states. Usually, I could find the cites myself, but this added a layer of work when I made my outline. Also, some cases were not explained succintly in one place--rather, the analysis was spread throughout a chapter and continued through the examples. This was distracting--it was more helpful when the key cases of a doctrine were summarized in one place and then briefly referenced later on. If your class focuses on Delaware you should also beware that there have been several key developments since 2006 that will alter some of the chapters. Other than that, it is hard to beat E&E for a good review of the material and "Corporations" does the job.

Good Corporations book,
This review is from: Corporations: Examples and Explanations (Examples & Explanations) (Paperback)
This book presents the Model Business Corporation Act along with Delaware General Corporation Law, Sarbanes-Oxley and some SEC rules. This mix, with MBCA emphasis, is probably to be expected for a book that tries to cover Corporations material for as many students as possible. Overall, the book is solid in covering examples and explanations of the material covered in my Business Associations course.
My class casebook was Corporations Law and Policy: Materials and Problems by Jeffrey D. Bauman, Alan R. Palmiter, and Frank Partnoy. The E&E book matches up nicely with this casebook. I even found a casebook to E&E correlation table on Palmiter's Wake Forest course website. BTW, I also found slides for his casebook at the website.

Not great, but better than nothing,

The worst of the E & E series, this book is way too dense for its purpose. The questions (many, but not most, of them) are poorly written.
Instead of simplifying concepts it merely reexplains them in technichal jargon. As mentioned in an above review, the Securities stuff is really good. It's still good review- i.e better than nothing.

not as helpful for a class that focuses on Delaware law,
This review is from: Corporations: Examples and Explanations (Examples & Explanations) (Paperback)
A previous review had indicated that the book focused on the MBCA but I was desperate for some help with my class so I purchased this anyhow. If you have a class that teaches the MBCA, I think it would be very helpful - unfortunately mine was primarily focused on the DGCL and Delaware doctrine and many of the rules are different.

Didn't seem as helpful as the E & E books I've uded in the past, but still a good part of finals prep.

This book is pretty solid on the Federal securities acts. For everything else, if you are studying the Model Code then you'll be happy, but if you study DE or any other law, you will find nothing of use here.

The E&E series is very helpful in prepping for exams. The summaries and charts make great aids in outlining. Debating the hypos on my own and with my study group really helped. Most exams are essay responses to hypotheticals, so the book prepares you well.
