This is the first book to analyze and discuss international distressed debt and the developing standards of practice and documentation which accompany the different trading platforms worldwide. The insolvency issue which underlies this trading is examined, with particular regard to the US and UK markets. Divided into four detailed sections, this comprehensive book examines topics including: an overview of trade such as the need for a bid or pricing letter, confidentiality agreement, due diligence and the negotiation of terms; the documents used in trade by members of the Loans Syndication's and Trading Association such as the Assignment Agreement; the legal issues of trading such as bankruptcy claims in the US and a summary of UK law on loan syndication and participations; and the issues that arise in cross-border trade with sections on alternative dispute resolution and international bankruptcy developments.

This book is structured around the documents commonly used by those buying or selling distressed debt in the debt trading market. It is in four sections: 1. Overview of a trade; 2. Documentation; 3. Legal issues, and 4. Debt trading in an international context. Each section can be used separately or in conjunction with the other sections.

Section 1: 'Overview of a trade' includes chapters 1 through 6 and is designed to review the steps every trade, whether market- based or private, goes through. Timing of the trade is discussed, as are the need for a confidentiality agreement, some form of due diligence, agreement as to binding oral trades, negotiation of standard terms and conditions, representations and warranties and closing or completion.

Section 2: 'Documentation' includes chapters 7 through 10 and discusses form documents used in trades by members of the Loan Syndications & Trading Association and the Loan Marketing Association and in other debt trading transactions. Documents or provisions from the following documents are reviewed: Confidentiality Agreement, Trade Confirmation, Standard Terms and Conditions, and Assignment Agreement.

Section 3: 'Legal issues' includes chapters 11 through 12 and provides an overview and brief discussion of bankruptcy claims trading in the United States, as well as an overview of US case law on loan participations. UK administration and receivership law is summarized and a brief overview of UK law on loan syndications and participations is also provided.

Section 4: 'Debt trading in an international context' includes chapters 13 through 16 and addresses the many challenges created by trading across international borders. This section focuses on issues that arise in cross-border trades and includes sections on alternative dispute resolution and international bankruptcy developments.

The issue of distressed debt resolution is a key issue in the world of finance and economic development - and one which this book in large measure clarifies. The technical issues were superb - indeed masterful - but the book did not address the broader challenges of distressed debt - how to package distressed debt, how to establish centralized entities to deal with NPLs, how to preserve viable (but overleveraged) businesses from the depredations of the real estate oriented vulture funds. However, to the layman, this book would be a terrific resource
