Comprehensive, but unbelievably out of date.,

This book simplifies corporations law and gives concrete examples and good summaries.However, be aware that the book is in many places completely out of date and cites sections of statutes that were changed 12 years ago (even though this edition was published in 2002). You'll have to check constantly in your statutory supplement and in your case book to make sure that what you're reading is up-to-date. It's hard to understand, really, how an author could fail to update sections of a book over such a long period especially an author with a law degree who is, therefore, giving outdated legal advice). That all being said, the meat of the book is well done.

excellent supplement,

This supplement clearly describes all the major topics covered in a corporate law class. I found it especially helpful in distinguishing between duty of loyalty/conflict of interest issues and duty of care/business judgment rule situations. All the rules are clearly laid out and show the reader when the various tests should be applied. If you are overwhelmed by the large amount of information you're expected to master in a BA/corporations course, this supplement will help you organize that information and give you some perspective on how to manage all the info you're expected to know.
I highly recommend this book. Also, in case it's not obvious, there's nothing on agency and partnership.

I thought that this was a clear as well as very comprehensive study guide that included everything I needed. I primarily used the study guide to clear up areas that confused me as well as to add in missing pieces to my outline based on class notes, and it was great for that. I generally don't find commercial outlines to be that helpful, but this was an exception.

I agree with a previous reviewer; this book is surprisingly outdated despite being published in 2005. As a specific example, pages 106-07 refer to Rule 14a-1(k) even though it was changed to Rule 14a-1(l). And it states that a newspaper advertisement is a proxy solicitation even though that was largely overruled by Rule 14a-1(l)(2)(iv)(A) in 1992. So be careful about relying on this book.

This is one of the better Emanuel outlines I've used during law school. Really helps to illustrate and explain the key fundamentals of the class. It worked great for me as my primary study aid for the final exam (who has time to read cases?). The organization and layout of the material will mirror most Corporations/Business Association classes.

I've already found two mistakes in the book, one of which describing the standard judged in duty of care, which is one of the fundamental things one learns in a Corporations course. I'm scared to find out how many mistakes there are in this book that students are writing down on exams.

This is a helpful overview of corporate law. I found the outline of derivative suits helpful. There was more in this book than we covered in class, yet the book is not too big to be overwhelming. It seems to be the perfect study aid size. I wish I had purchased it sooner.

Crunchtime for Corporations was incredibly helpful in my studying. I don't think I would have done as well on my exam without it. The outline and the sections on Securities Fraud were probably the most helpful. I would definitely recommend it, especially for someone who feels like they need to cram a little before their final.

I like the Emmanuel Law Outlines for review of the black letter law, and particulatly like the CrunchTime series for pre-test review. The Corporations Crunch Time covers enough as a "last minute" cram reference for finals, multistate issues, or quick finishing touches.

Good reference. This guide's usefulness will be dependent on how your professor approaches the class. My professor was not concerned with the rules and emphasized more the general concerns. This book references the Nutshell--The Law of Corporations (which is more general). I found the Emanuel and the Nutshell to be both useful in preparing for exams. Since my professor approached corporations in a more general format, the Emanuel's attempt to place the concepts in neat categories was a little too precise for me. Overall, worth the money. I do highly recommend the Nutshell also. It has a great definitions section and clearly presents the material in a general format.
