David Binns is associate director of the Foundation for Enterprise Development. A published author and frequent speaker on issues related to employee ownership and enterprise development, Binns has consulted with a variety of companies, both domestic and international, on the legal, financial and human resource implications of the structure and implementation of employee ownership plans. From 1984 to 1991, he served as executive director of The ESOP Association where he directed the Association's programs including government and public relations, publications, conferences and membership services. He is also the editor of the 1996 Employee Stock Ownership Plan Yearbook.

An easy to understand reference for equity sharing,

This book gave me an excellent overview of ways to share equity with my employees. After reading the book in one evening, I felt I had a good grasp on all of the plans. It gave a great overview of stock options, 401(K)'s, ESOP's, Stock Purchase Plans, Stock bonuses, and Phantom Stock and detailed the tax and accounting consequences of plan implementation in lamens english.I was amazed I could implement all of these equity sharing methods even though I am a privately held company. The book still sits on my desk as a reference.

I have used the Entrepreneur's Guide for several years. It is an excellent tool - comprehensive yet easy to understand and logically organized. It presents a very complex area in a clear fashion that goes a long way to helping the interested person decide on a general approach to equity compensation that will fit their needs and help reach their goals for a very reasonable cost. I recommend it to anyone considering exploring an equity compensation strategy of any kind.
