David Binns currently serves as Vice President of the Foundation for Enterprise Development. A published author and frequent speaker on issues related to employee ownership and enterprise development, he has consulted with a variety of companies, both domestically and internationally, on the legal, financial and human resource implications of the structure and implementation of employee ownership plans. He has also been actively involved in efforts to promote the use of employee ownership as a means to facilitate privatization, defense conversion and economic development in several foreign countries. From 1984 to 1991 Mr. Binns served as Executive Director of The ESOP Association, the national trade association representing the interests of companies with employee stock ownership plans (ESOPs) and professionals providing advisory services to ESOP companies. He is a graduate of the University of Virginia.
Marshal Hyman is a Senior Tax Consultant for the Foundation in the Washington D.C. office. He has a BS from Temple University in Philadelphia, Pennsylvania and a JD from the University of Pittsburgh in Pittsburgh, Pennsylvania. Prior to joining the Foundation Mr. Hyman spent his career as a corporate tax advisor, including time with "Big Five" accounting firms and a multinational corporation. At DynCorp, a government contractor and information technology company, Marshal was a Vice President and Director of Taxes, and was responsible for the tax planning and compliance of the company. Marshal is a Certified Public Accountant and has been admitted to practice law in Pennsylvania and the District of Columbia.
Martin Staubus is Director of Consulting for the Foundation for Enterprise Development. He has twenty years of experience in employee ownership, human resources, law and organizational development. Trained as an attorney, Mr. Staubus has experience as a practicing lawyer, consultant and corporate VP of human resources. His work includes service as an employee ownership attorney, policy advisor and speechwriter for Labor Secretary Robert Reich, legal advisor to the California State Labor Relations Board, and deputy director of the ESOP Association. He is a member of the Board of Directors of the National Center for Employee Ownership. Martin holds a B.A. in economics from the University of California, Berkeley, an M.B.A. in organizational development from the George Washington University, Washington DC, and a law degree from Golden Gate University, San Francisco, CA.

Now in an fully updated third edition, The Entrepreneur's Guide To Equity Compensation from the Foundation for Enterprise Development provides an excellent and highly recommended introduction to the hows, whys, and wherefores of employee ownership, as well as how empowered employees can help build a cutting-edge, proactive organization. Individual chapters address both individual-based and company-wide stock plans, savings plans that can hold employer stocks, crucial issues that can interfere with success, and much, much more. A recommended primer for any employer, for The Entrepreneur's Guide To Equity Compensation costs far less than what an unwise stock options decision would impose upon a corporate bottom line!

This excellent and clear explanation of approaches to equity plans, provides a guide to creating an employee ownership strategy. The book covers: stock grants; direct stock purchase programs; stock option plans; qualified employee stock purchase programs (ESPPs); employee stock ownership programs (ESOPs); 401(k) and other qualified retirement plans; nonqualified deferred compensation plans; stock appreciation rights and phantom plans; stock programs for American companies operating abroad; and the most suitable equity arrangement for various types of legal forms of companies. Explains the concept, pros and cons, and tax and cost implications. Viewing this work as a compensation consultant, I find it to be an outstanding reference, providing highly accessible explanations. Very highly recommended.
