About the Author

Carl R.J. Sniffen, is an attorney with Foster, Purdy, Allan, Peterson, and Dahlin in Medford, Oregon. Mr. Sniffen also co-authored Developing Company Policies and A Company Policy and Personnel Workbook, by the Oasis Press. In addition to his professional practice, Mr. Sniffen was editor-in-chief of the UMKC Law Review and a member of the Order of the Bench and robe.

For the already somewhat "Business Literate" the Essential Corporation Handbook provide most of the details needed to setup your corporation, initial meetings you must hold and formalities you must adhere to. A very handy reference used often in the early days of forming my corporation. Displays sample of most of the documents you will be dealing with early on. I would have liked to see more detail/advise on how to determine the number of shares to authorize/issue which is I think is a key element or creating a corporation.

Considering how dry the subject material is, I was pleasantly surprised to find that this book is not only a great resource, but quite easily readable as well. I bought the book a while ago, kept staring at it, and just dreaded even starting. But I was needlessly avoiding it, as the material is presented in a easily understandable manner (even a bit of humor from time to time, if you keep in mind we are talking about lawyers writing this...). Highly recommended, particularly with regards to tips on the differences in stock classifications and way that financiers can take advantage of you if you don't understand completely the differences.
