I found this book extremely helpful in getting my LLC set up - saved on lawyer's fees for sure! The disk provides sample forms that were useful as well. I bought 3 different books on this subject, and ended up using only this one - highly recommend it if you want the specific administrative details on setting up your LLC.

This book has a good explanation of the ins and outs of forming an LLC. However, in most cases, you create an LLC by filling the blanks in a state form, and then optionally create an Operating Agreement by filling in the blanks in a sample version included in the book.

I bought this book when I started my business and I refer to it constantly. While it is geared toward LLCs, it offers information on other business entities such as sole proprietorships, partnerships, C Corp.s and S corporations to help you decide what is best for you. It provides all the guidance needed to establish and maintain an LLC. I made the mistake of loaning the book out once and had to ask for it back because I use it so much. It has an entire section on maintaining an LLC after it is established to help keep records and legalities straight. Well worth the money!

This book has a good explanation of the ins and outs of forming an LLC. However, in most cases, you create an LLC by filling the blanks in a state form, and then optionally create an Operating Agreement by filling in the blanks in a sample version included in the book.

The value of this book is in the state-by-state reference and in the sample Operating Agreement (and accompanying explanations). It doesn't tell you much of anything about what else you need to do to start a business or run it, referring you to other books written by the author.

Given the relatively light content, I wouldn't have expected it to be on the high end price range of Nolo's offerings. The book's real value for me was filling in some gaps in Nolo's excellent "Small Business Start-Up Kit for California" by Peri Pakroo.

After searching the internet and carefully reading information available here at Amazon and not getting anywhere, I was able to find out about this great book from a chance meeting with a successful businessman in a book store.

This book is very complete and up to date. I am very satisfied with the contents. On the other hand, I have bought some very heavily promoted books here at Amazon and was vastly dissappointed.

I don't know who is pushing those books, but I doubt if they have read or applied any of the information.

Some other books that I do recommend are How To Form Your Own "S" Corporation and avoid double taxation by Robert Friedman, How To Form and Operate a Limited Liability Company by Gregary Damman, Nolo's Quick LLC by Anthony Mancuso, How To Use Limited Liability Companies by Garret Sutton and How To Launch a Business and Incorporate in Any State by J.W.Dicks.

This book was a life-saver! Unless you have thousands of dollars lying around to waste on legal fees, I strongly recommend you pick up this book. Its step-by-step, plain english instructions and form-filled CD-ROM make it super-easy to use. It gives you all of the information you'll need both to start up your LLC and to maintain it once its established. Mancuso walks you though every step from naming your LLC, to preparing an Operating Agreement, to taking care of the endless legal and tax paperwork.
And I'm not just talking hypothetically, I used this book to form my own LLC and personally know three other business owners who have used it either when starting up or while switching from a partnership to and LLC. My company is going strong and thanks to this book I get both the flexibility of a partnership and the protection of a corporation. This is a great buy!

An excellent intro to LLC's, in a generic sort of way. However, the sample operating agreements leave much to be desired...there are more thorough versions out there. In addition, the differences between the various state laws on LLC's make it necessary that you consult an attorney just to be on the safe side. Overall, I would recommend this to anyone who is thinking about getting into business.

A limited liability company is a relatively recent addition to the traditional forms of companies. It has some fo the advantages of a corporation, and the tax advantages of a partnership, sole proprietorship or corporation depending on the desires of the owners. It is not suitable for all organizations, but if you are considering one, here is the place to start.

If you go to an attorney to get him to set up an limited liability corporation, he will ask you a bunch of questions, write down the answers and get his secretary or paralegal to type these answers into their standard LLC form on their word processor. She will then press the print button and you get billed for a thousand dollars or so.

Anthony Mancuso is a corporations attorney licensed to practice law in California. He decided to take his standard corporate form and put it out in the form of a book. In the book he will ask you a bunch of questions, taking the time to point out the alternatives (that a lawyer probably doesn't do unless asked. You then take his standard corporation form (supplied on a CD) and fill in the answers. Files these with the appropriate offices and you have a corporation for only the filing fees the state charges.

Well, maybe it's not quite that easy. The LLC is a new form of business. I'd suggest that you read and consider the forms contained here, but then I'd have an attorney in your state review them, just to be sure.

If your looking to start a business, and are confused on the legal structure in which you might setup buy this book to help clear up the differences.

Excellent manual on the general laws that surround in setting up and operating an LLC. Mancuso also gives you a comparison of how an LLC stacks up with traditional methods of structure and gives you it's advantages and disadvantages towards each of your choices! Outstanding in content for general knowledge about LLC's!

In our case, this book was more of a help with planning than providing the actual legal forms necessary to legally form an LLC. Here's why, in our state, if you have internet access and a printer, it's very simple. All you need to do is fill out one on-line form provided by the state, print it, write a check for the fee, mail it, and wait.

What a book like this does is give you confidence that it is really just that simple. There are plenty of services on the internet, including services advertised on the website of the publisher, NoLo, that want to charge quite a bit more to do the work for you - or I'm sure you can find a local attorney who will also do the work for you, probably for an even higher fee. Maybe that's what you need, but for our small business, we found our startup money better spent on marketing and sales promotion than legal fees.

The one thing that was missing for me in this book, thus only 4 stars, was any discussion on LLC location. We needed additional research to satisfy our questions here.

Finally, we were able to use one of the legal forms on the CD as a template for our LLC operating agreement between members. That was handy and important, though in our state not a required document to form an LLC.

I needed a book to guide me in forming an Illinois LLC after I had done research to determine the pros and cons of the structure. In other words, I needed a good rundown of the potential options for an operating agreement, and I needed clear instruction on the application/filing process.

This book was too generic on operations, and the actual formation of an LLC in Illinois requires one form and a check, but the book's description of the filing process for Illinois was not clear.

I noticed another book which goes through an operating agreement almost clause by clause - it was cheaper, too, but I have forgotten which book that one is. I wish I had bought that one.
