The purpose of this book is to provide a line-by-line explanation of Fund Operating Agreements. Contents include: manager and members, capital contributions, management expenses and fees, allocation of gains and losses, distributions, transfer of membership interests, additions and withdrawals, duration, and other provisions. The book is a set of reference notes for a sort of 'standard' operating agreement. Comments include explanations of provisions (i.e., [this means] the manager is not personally responsible for return of investor's capital..) or recommendations such as 'consider having an office in Delaware because...'. These are probably concepts you could glean from reading a few different agreements and through discussions with your law firms at $$xx/hour, or you can read through a book like this, prepare questions related to your own situation first, and then review an agreement with someone else.
