J.W. Dicks is perhaps one of the most under-rated authors out there. How to Incorporate and Start a Business in Minnesota covers every essestial topic you need to know to start your business right. And best of all, it offers information specific to Minnesota. Most books are general.

If you're looking for an introduction to incorporation (or starting any new business for that matter), this book covers a lot of topics at a high level. A decent book if you're contemplating incorporation and trying to decide if it makes sense for you.

J.W. Dicks is perhaps one of the most under-rated authors out there. How to Incorporate and Start a Business in Minnesota covers every essestial topic you need to know to start your business right. And best of all, it offers information specific to Minnesota. Most books are general.

I found the section on different corporations; S-Corporations, LLC's and LLP's really interesting. Dick's discusses the pro's and cons of each one and shows you which one is best for you.

Dick's also goes into detail about preparing contracts and leases. Dealing with the law and raising capital.

All in all. "How to Incorporate and Start a Business in Minnesota" is a MUST READ for any Minnesota business person.

I recently opened a business in the St Paul area and bought this book as it is the only one that I could find with information specific to this area.What impressed me is that Dicks is himself a successful business person so his information goes beyond the typical attorney who graduated with high grades but has no real world experience as an entrepneneur.Sadly, many of the books sold are also by "paper authorities" with no real world experience.I highly recommend "Form Your Own Corporation and Launch a Business In Minnesota" and also recommend the "Small Business Legal Kit" which comes with a convenient disk. I now have all the forms at my disposal..from eployee forms, to real estate forms, leases, contracts, shareholder meetings forms, hw to sell stock forms, independent contractor etc in any easy fill in the blanks format.Great informationa dn it did save me thousands.

If you've done some research, you know you want to incorporate, and you want detailed information on how to proceed, this is not the book for you! It gave me just enough information to raise plenty of questions for which I still don't have the answers.
