About the Author

Edwin L. Miller, Jr. has practiced corporate and securities law for over 30 years. He has represented issuers and underwriters in scores of IPOs, secondary stock offerings, convertible debt 144A/Reg. S offerings and PIPE transactions. He also has organized a number of private equity/venture capital funds and represented both venture capital firms and technology companies in many venture financings.

Carl F. Barnes has been a business lawyer for more than 18 years, specializing in representing large and small companies in public and private securities offerings, mergers and acquisitions, joint ventures and other complex transactions. A former general counsel to two publicly held companies with 7+ years of "in-house" experience, he also has substantial experience advising senior management on a wide range of legal and business issues.
