I recently bought this book and found it to be very informative and to the point. I looked at other books, but most were wordy. My time is limited and I needed a book that would provide me the info without the fluff. There is a good state information section that provides info like Addresses, URLs, Legal URLs, Name Requirements, and form descriptions. The actual forms are not provided but the resource is given. I would recommend this book for someone looking for enough information to answer your questions and give you guidance in going forward.

This book breaks what you need to know to form an LLC down nicely and easily by chapter. You can skip around if you'd like, but I wanted to make sure I knew everything about the topic and read it straight through. Full of helpful examples to illustrate the concepts just presented. Definitely recommend to others looking to learn about corporate structures and most specifically, the LLC.

I was hoping to be able to set up the LCC with this book, but apparently I needed to get the "How to Form an LLC" book (which I'm NOT going to do).
I've read the Nolo California Corporations book and it already covered much of the info here. What I was looking for was help with writing good articles of organization and operating agreement (specifically for a 1-person LLC). The operating agreement example he gives is not specific to a one-person firm. A prudent person might change the language in his example operating agreement to reflect that the LLC is composed of just one person. Also, the book does not cover the fact that in CA you can specify additional info in the Articles, such as rules for admitting new members. Awfully light for "All you need to know".

The information in this book seems correct as far as it goes. But the book's subtitle says "All you need to know about limited liability companies." Turns out, though, that to get "all you need to know" you have to buy one or several of their other books, depending on how much of "all" you expected to get! For instance, on page 6/18 (3rd edition) the book directs you to purchase one of their other publications to get information on how to operate your LLC. I could accept this if the cover of the book said "volume 1" or "companion volume to..." but it says "All you need..." For a fairly scant $30 paperback to promise all, then direct me to buy another $30 paperback, is IMHO, a broken promise and a lie.

Having just established my own Limited Liability Company (LLC), I wanted a book that would define what a LLC is in the framework of other business models, including tax and legal implications. I wanted to ensure that a LLC was the best fit for me. That is exactly what this book did, and it did it well.
If you are thinking of starting your own business an a LLC, but are not sure of which business model to use (Sole Propertiorship, LLC, Parternship, S-Corp, C-Corp), this book will help inform you of the pros and cons of LLCs, and how they fit into the overall legal and tax structure. The only reason I rated this book at 4 stars instead of 5 stars, is that it scared me a bit in regards to the legal and tax requirements, without providing enough detail to give me a grasp on why the requirements were in effect. Having also been in contact with a certified tax expert and accountant while I was reading this book, I learned that this book errs on the side of being very conservative, or even a bit scary, in regards to legal and tax requirements. So I would advise anyone who gets this book to also balance it out by reading a more aggressive book about saving money on taxes and operating an LLC legally. After reading this book, I also read "Your Limited Liability Company, An Operating Manual" by the same author. That book provides in depth detail on the day-to-day running of an LLC. It helped me tremendously. However, this book is also conservative when it comes to saving money on taxes. Overall, both books are great reads.

The book spend alot of time with examples, which isnt bad, but if you are looking for a primer on the law, tax advantages, pro's and con's, I found googling just as effective without the hefty price tag, at $5-10 this book is great value, at $30+ retail, well...

I had high hopes for this book but it did not meet my expectations. The book does a decent job explaining the difference between an LLC and other entities like C corp, S corp, general partnerships, etc. However, it does not get to the point about (1) steps needed to file an LLC and the common paradigm of filing in Nevada / Delaware and then registering in your home state, (2) choosing where to file for LLC, or (3) ongoing legal and financial care and feeding of the LLC so you do not "pierce the corporate veil." Basically, the book is very light on specifics and does not justify its price. I am returning it, hoping to find a more thorough guide.

If you are unfamiliar with LLC's this book will be helpful. It provides a thorough overview of the basic information. When I read the book, it spawned a number of ideas and questions about operations, specific provisions to certain agreements, etc. Unfortunately, it does not answer any of these advanced questions.

Left a lot of questions unanswered. Gave reference to find more detail answers to questions about LLCs. Was hoping book would be an answer to all you ever wanted to know about LLC, but it wasn't. While it was helpful, I still had to get answers to some critical questions. I finally hired a lawyer that speciallizes in LLCs, Corporation, and Real Estate.

This got us started on the road to our new biz, but what it lacked was real help filling out the State forms. Nolo has another book that does just that (and I recommend it if you are really looking for help with forms). If you are still in the decision making process as to which type of business you want to have (e.g. partnership, LLC, corporation types) and what it takes to run an LLC, this is one to keep on your shelf. My favorite part of this book, Nolo's Quick LLC, is a great chart delineating the differences between different types of businesses.
