A heads-up from the author: This is an old edition. A newer edition is available. The title of the new edition is slightly different: LLC vs. S-Corp vs. C-Corp Explained in 100 Pages or LessI apologize for having to do this via a review, but I've been unable to get the two editions linked on this site.

A simple, yet thorough, examination,

It's tough to find a decent, simple, easy-to-follow examination of the differences between an LLC, S-Corp, and C-Corp. When my accountant started telling me about this stuff, my head nearly imploded. Further research on making the right choice wasn't helpful at all. In fact, in some cases, it only made things worse. But this book was as illuminating as the big, shiny lightbulb on its cover. I even uncovered a key item that my accountant had forgotten to mention. Can't recommend this book enough.

This book couldn't have come at a better time-- I'm in the process of starting my own software consulting business and I have spent weeks agonizing over which type of entity to create for my new company. Mike's book was an invaluable resource in helping me to understand the pros and cons, from both the tax and legal perspective, of each entity. A must read if you're about to take the plunge into the world of small business!

A basic overview - just what I needed,

Mr. Piper's book provides an excellent introduction to the major ways a business can legally organize in the United States. I acquired this book to prepare myself to meet with my tax attorney to discuss whether and how I ought to incorporate. Based on what I learned from this book, I was able to approach my attorney with sufficient knowledge to ask him more in-depth questions that pertained to my specific situation. This saved me time and money.
The only major improvement I would make to the book is to illustrate, in table form, the key characteristics of each major incorporation structure. I will refer to this book again in the future and do not plan to supplement it or replace it with another book of its type. Ken Florian

Great Book That Puts Things in Plain English,

This is a great book if you want to quickly understand the benefits and drawbacks of running your business as a Sole Proprietorship, LLC, S-Corp, or C-Corp. The book is very easy to read and avoids the boring legal-speak that plagues many similar books. Read this book if you are getting ready to start your own business, but aren't sure of what type of entity to form. This book does not go into depth on tax laws or how to write an operating agreement, so if you are looking for these details it would be best to consult one of the Nolo books that are dedicated to these topics. However, if you are getting ready to start a business, and want to quickly understand the various entities and their differences in an afternoon, get this book!

I'm looking to form a business with some investors, and I know very little about doing so. After reading the book, I decided to form a partnership that may grow into a corporation one day. The book is an easy read and is accurately described by the title. It is well organized and concisely explains the different business forms in terms of: a general overview, taxation, and legal considerations.

This is an outstanding introductory book that can be read in an evening or two. The material is written clearly and would be easily accessible to virtually anyone. No prior knowledge of the subject is required. This book completely demystifies the subject of sole-proprietorships, partnerships, and corporations and provides a good foundation for further study.

This is a very concise and practical guide to the formation, taxation and legal differences between Sole Proprietorships, Corporations and everything in between. Very easily read with a simplified presentation makes this a great introduction to help you decide how to form your business. While not getting into the very depth of the legal discussions, this book will provide you with the necessary subjects you may want to explore further with your CPA or attorney.

This is the most complete and comprehensive book on the topic of structure for a small business that I have seen. It contains excellent information in plain terms that we can all understand. I especially like the "Simple Summary" at the end of each chapter. If you are starting (or already have) a business, this is a must read.

If you are looking for a book that introduces this subject and gets to the point quickly and easily then this is a book for you. This is certainly not a definitive guide but answered many questions I had, on the subject, and provided me with the guidance I needed to avoid some pitfalls and give me direction on next steps.
