Recently received a new Android tablet and was considering passing my kindle 3g (with keyboard) down to my mom. If I just deresiter it, will that remove all my currently downloaded content from it and will my mom then be able to register that same kindle device under her own Amazon account?

The content will remain on the Kindle after you de-register. You'll have to reset it to Factory Specs if you want to wipe it clean.

Either way she will be able to register it to her account.

L. Q. Brook - Reset it to factory defaults. This will remove all content and personal settings and deregister it from your account. Then she just needs to register it to her account.

For e-ink Kindles:
Menu > Settings > Menu > Reset to Factory Defaults.

There was a time when content remained on the eInk Kindles even when they were deregistered. I've seen posts lately that indicate that may have changed. To be sure your content is removed reset the Kindle to factory defaults.
