The only downside (and it's minor), is that if you have the ruler fully open and try to draw a line, you get a little "dip" where the two pieces of plastic meet. It's a tiny one, and may not be noticeable if you use an "old-fashioned" pencil, but we use mechanical ones so it's definitely there.
Not enough of an issue that I wouldn't recommend getting one, just something to keep in mind depending on the intended use.
